Case Studies
Co-sourcing for a FinTech company
One of its co-sourcing projects includes a 1.5-year stint with a Fintech company, where CorpServe assisted the company established and organised its internal secretarial system and procedures, conducted health checks on its constitutional documents and statutory records, and liaised with relevant government bodies to complete corporate transactions.
CorpServe also assisted in drafting directors’ and shareholders’ resolutions for standard routine transactions, such as annual general meeting (“AGM”), change of directors, bank signatories, year-end financial reports, registered office address, and opened corporate accounts, which included administering shares related transactions – transferring shares and issuing of new shares and an Employee Shares Option Plan (“ESOP”) exercise.
CorpServe has also coordinated with the company’s appointed external counsels on matters related to its corporate secretarial work.
Co-Sourcing for an MNC
Co-sourcing can be useful and effective when employees have resigned or are on long-term leave. CorpServe was engaged by an MNC for 2.5 years to fill the shoes of an internal legal and secretarial compliance officer who had left the company.
CorpServe was tasked with coordinating and facilitating secretarial arrangements for the organisation’s international entities, as well as liaising with the in-house secretarial department or the appointed secretarial agent in each country to ensure compliance with local regulations.
In addition, CorpServe liaised with the board of directors and key management personnel to arrange for official documents to be signed and filed by the local registrar in each country (equivalent to Singapore’s ACRA), while also updating the corporate compliance calendar and monitoring deadlines for each jurisdiction.
